Terms of Service

These Terms of Service govern your access to and use of Talona ("Talona", "we", "us", or "our"), a platform that lets you describe AI agents in plain language and run them as long-running services. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use Talona. You must also have the legal authority to bind yourself, or the organisation you represent, to these Terms.

2. Accounts

You create an account using email and password, or by signing in with a supported identity provider. You are responsible for keeping your credentials safe and for everything that happens under your account. If you suspect unauthorised access, contact us at contact@talona.ai immediately.

We may suspend or terminate accounts that we reasonably believe are violating these Terms, abusing the Service, or putting other users at risk.

3. The Service

Talona lets you:

  • Describe an agent in natural language and have it configured and deployed on managed infrastructure.
  • Connect third-party services to your agent through OAuth, including workspace tools, communication apps, and developer tools.
  • Schedule and run your agent on a recurring basis.
  • View your agent's run history and inspect its traces to debug failures.

The exact features available depend on your plan. We may add, modify, or remove features over time. Where a change materially reduces the Service, we will give you reasonable notice.

4. Your content

"Your Content" means anything you submit to Talona: agent configurations, prompts, files you upload, instructions you give your agent, and the outputs your agent produces on your behalf. You retain all rights to Your Content.

You grant us a worldwide, non-exclusive, royalty-free licence to host, transmit, process, and display Your Content for the sole purpose of operating the Service for you. This licence ends when you delete the content or close your account, except where retention is required by law or to defend a legal claim.

We do not use Your Content to train AI models. Your prompts and your agent's outputs are not used for model training by us, and to the extent we can contractually require it, not by our subprocessors either.

5. Acceptable use

You agree not to:

  • Use Talona to break the law, infringe other people's rights, or harm third parties.
  • Use an agent to send unsolicited bulk messages, scrape services in violation of their terms, impersonate other people, evade rate limits, or carry out fraud.
  • Probe, scan, or test the security of Talona without our written permission.
  • Reverse engineer the Service except to the extent that such restriction is prohibited by law.
  • Use Talona to generate or distribute material that sexually exploits minors, incites violence, or facilitates the creation of weapons capable of mass harm.
  • Resell, sublicence, or redistribute the Service, or wrap it as a competing product, without our written permission.

If you use Talona to interact with third-party services through OAuth (such as your workspace, your inbox, or your code repositories), you are responsible for complying with the terms of those services and for the actions your agent takes on your behalf inside them.

6. AI outputs

Talona uses AI models to power your agents. AI models can produce inaccurate, biased, incomplete, or unexpected output, including output that looks confident but is wrong. You are responsible for reviewing your agent's output before relying on it for any consequential decision, and for the actions your agent takes on your behalf.

You should not use Talona, on its own, for high-stakes decisions in regulated domains (such as medical diagnosis, legal advice, financial advice, hiring decisions, or insurance underwriting) without independent human review.

7. Fees and billing

Talona offers free and paid plans. Paid plans are billed in advance on a recurring basis. Prices are listed on the pricing page and may change with reasonable notice. Where we change prices, we will not change them mid-billing-cycle for an existing subscription.

Fees are non-refundable except where required by law. If you cancel a paid plan, you keep access until the end of the paid period.

If you exceed the credit allowance of your plan, we may meter overage at the rate listed on the pricing page or pause your agents until your next billing cycle.

8. Suspension and termination

You may stop using Talona at any time and delete your account from the dashboard. We may suspend or terminate your access if you materially breach these Terms, if your use creates a security or legal risk, or if we are required to by law.

On termination, we will delete your data within a reasonable period, except for backups and records that are retained for legal, accounting, or security reasons. You can request earlier deletion at contact@talona.ai.

9. Disclaimers

Talona is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that the Service will be free of bugs, that AI outputs will be accurate, or that integrations with third-party services will continue to work as those services change.

10. Limitation of liability

To the maximum extent permitted by law, neither Talona nor its operator will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service.

Our total cumulative liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to us in the twelve months before the event giving rise to the claim, and (b) one hundred euros.

These limitations do not apply to liability that cannot be excluded under applicable law, such as gross negligence, wilful misconduct, or statutory consumer rights in your jurisdiction.

11. Indemnification

You agree to defend and indemnify Talona, its operator, and its personnel against any claim, liability, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, your infringement of someone else's rights, or any actions your agent takes through Talona that are attributable to your instructions or your acceptable-use violations.

12. Changes to these Terms

We may update these Terms from time to time. The current version is always at this URL with an updated "Last updated" date. For material changes we will notify you by email or in-product before they take effect. If you keep using the Service after the effective date, you accept the new Terms.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. The state and federal courts located in San Francisco County, California have exclusive jurisdiction for any dispute arising out of these Terms, unless mandatory consumer protection law in your country of residence requires otherwise.
